LGSA AGM 2023

Minutes of Annual General Meeting 23rd September 2023

Emily Hobhouse Room, Liskeard Public Hall

1.     Apologies for absence: Jan Collett, Evelyn Farrant, Thelma Bryce, David Tamblin

2.     Present : Keith Cozens, Janet Payne, Sally Webb, Eric Westlake, Denis and Anne Congdon, Derek Gilbard, Mary Williams, Lynne Taylor, Phyllis Cooke, Tony Berry, David Hingston, Angela Tamblin.

3.     Chairperson`s report :
Welcome to our Annual General Meeting, having survived a blistering drought in June, deluges of late summer rain, recent gale force winds, Sahara sand and an imminent ability for us to turn on a hosepipe without being arrested..... here we are!

Regarding the LGSA it is my impression of the our year that whilst we have slowly lost a few members and have honed down our  activities, there is still a positive feel amongst our membership. The committee met on 3 occasions , 30/11/22, 8/03/23 and 6/09/23. We were delighted that the proposed reunion lunch took place on Saturday 15th April.....

which was such a success, in addition the Winter and Summer editions of the LGSA journal have been stocked with some informative and often amusing articles...... keeping us all in tune with each other.

I wish to thank all the committee members for continuing to give their support, David, Sally and Lynne in particular have had some busy times...... Derek has also made a substantial contribution regarding our ability to function by his input on keeping the Eliot House Hotel available to us. Thanks to you all who are helping to keep the friendship link alive!

4.     Adoption of minutes of LGSA AGM 2022:
The minutes were read and then approval was proposed by Denis Congdon and seconded by Phyllis Cooke and approved by all.

4.     Matters arising from minutes of LGSA AGM 2022:
Angela Tamblin noted that it had been suggested to combine the reunion lunch with the AGM, but would it be as successful in September? Also the lack of members` attendance today indicates that there may be an avoidance of the AGM but a willingness to meet socially. Lynne Taylor suggested that we should hold the reunion lunch in April/May as planned. As the Eliot House Hotel is available we will continue with 2 functions.

5.     Treasurer/membership report :
The accounts this year show a small loss of £37but actually it should be more like £160 as we have not yet received an invoice for the printing of the July LGSA journal due to personal problems at the printers.

Subs income was down this year but this was partially compensated for by an excellent profit of £116 from Mary`s LGSA reunion lunch raffle.

The bank account has finally been transferred from HSBC to Lloyds earlier this year. This was a painful process but we will no longer incur bank charges.

Our bank balance remains reasonably healthy at £3,009.77 and although this will gradually decline with decreasing membership there seems to be no reason to change increase the subscription rate.

Membership report: 
We have gained one new member this year but have lost 12, leaving 186 members of which 136 are paying members.

The LGSA journal distribution is now 47% email and 53% packed and posted paper copies.

5.      LGSA Website :
The website has had a reasonable amount of use over the last year (considering it never change much) with 663 visits and over 2,900 page views. This is about 10%up on last year with peaks in March (prior to LGSA reunion lunch) and in July for some reason. Some identifications of pupils on photos have been received and Angela Tamblin suggested that an automatic reply should be set up to encourage new members. David is not sure of his capabilities to do this but will investigate.

6.     LGSA journal:
Lynne commented that LGSA obituaries are increasing. Jo Billings article was very interesting and we need more input from members. A suggestion of  snippets

Eg: “ Do you remember............”

The last LGS head, Antony Wood MBE has sent an item.

Keith commented that even if members lack confidence, write it! Sally Webb has volunteered to write articles for members if they dictate to her, please contact her if you would like this to happen. If we can keep the LGSA journal vibrant for the next few years please write an article, it`s a link between members!

7.     LGSA reunion lunch 2024:
Thanks given to Derek for liaising with The Eliot House Hotel. Saturday 6th April 2024 has been booked. A suggestion of a maximum cost of £25 to include coffee with the possibility of this being reduced to £20 was discussed.

8.     Election of officers :
Anne Congdon proposed that the committee remains en bloque, this was seconded by Tony Berry. All the LGSA committee agreed to stay.
Denis Congdon stood up to say how grateful he is for the efforts of the LGSA committee as the organisation would have folded but for this. 

9.     Any other business:
There was none

LISKEARD GRAMMAR SCHOOL ASSOCIATION CONSTITUTION

 Name
The name of the association shall be “The Liskeard Grammar School Association”.

 Objectives
To promote social interaction for old students of the Liskeard County Grammar School. 

Membership
1.         Open to all old students and staff of Liskeard County Grammar School. 

2.         Payment of the annual subscription is a condition of membership. Subscriptions are due on  April 1st. 

3.         There will be a period of grace of approximately one year. If subscriptions are not received by Dec 31st of the year in which they are due membership will lapse. 

4.         The committee shall have the right to terminate the membership of any individual subject to the individual’s right to be heard by the committee. 

Committee
1.         There shall be eight members selected bi-annually at the Annual General Meeting. 

2.         Casual vacancies shall be filled by invitation of the committee (for the unexpired term of that membership).

3.         The committee shall have the power to co-opt up to two additional members per term of office.

 4.         The committee shall meet at least twice per year.

 5.         Any committee member not attending three consecutive meetings will be deemed to have resigned subject to the discretion of the committee.

 6.         A quorum shall consist of at least four of the committee members.

 7.         A simple majority of members present shall suffice on all matters put to the vote (subject to quorum).

 8.         The committee shall be responsible for the development and good management of the Association (including financial and data privacy matters).

 9.         The committee may organise social activities during the year.

 10.      The committee will maintain an up-to-date membership list.  

Executive
Chairperson, Vice-Chairperson, Secretary Data Protection Officer and Treasurer, to be elected by the committee. 

Finance
1.         All moneys received shall be used to further the objectives of the Association.

2.         All moneys are to be banked and transactions are to be recorded and conducted through the account.

3.         The account is to be audited annually prior to the AGM.

4.         All payments are to be approved by the committee and subject to any two signatories from the Chairperson, Secretary and Treasurer. 

Annual General Meeting

1.         The committee shall convene an Annual General Meeting at a suitable date not more than fourteen months or less than ten months from the previous Annual General Meeting. 

2.         The business of the AGM shall be to receive the committee’s report and Annual Financial Report and to elect committee members.

3.         Recommendations may be made to the committee by notifying  the secretary at least six weeks in advance of the AGM. 

4.         Members must be notified of the AGM at least three weeks in advance. 

5.         The annual subscription shall be agreed at the AGM. 

 Extraordinary Member’s Meetings

Any ten members of the Association may instruct the committee to call an extraordinary meeting of the members of the Association. At least eight weeks’ notice of the business to be discussed and the time and place must be given. 

Constitution
The constitution can only be altered by a simple majority at either the AGM or at an Extraordinary Member’s Meeting. 

Dissolution

The Association may be dissolved by a simple majority at either the AGM or at an Extraordinary Member’s Meeting.

Any remaining funds shall be used to further any bona-fide charitable purpose agreed at the aforementioned meeting.

The Liskeard Grammar School Archives

For Members asking about archive material.

In 2002 a large quantity of diaries, documents and photographs were handed to me by John Lingard.  He asked the L.G.S.A. Committee to decide what to do with this archive material and the decision taken was to ask the County Records Office whether the material could be stored in their archives.  The County Records Office agreed to accept the archive once it had been weeded and fully listed in preparation for inclusion as a County and National resource.

In February 2003 the bulk of the material was handed over to County Records with an additional deposit of Pupil record cards in July 2003.  The archive is now securely stored in acid free folders and under temperature controlled conditions.  Duplicate material, removed in the weeding process, has been retained by LGSA.

Following enquiries as to how the archive may be viewed; I spent a day at County Records with Maggie Willan where we were able to select files of our choice and view those files within a few minutes.  The archive has been given the Reference No. AD1546 under which there are listed a total of 84 records.  Internet access, to the list, is possible and a route to the list is shown below:-
